Terms of service

These Terms of Service (“Terms”) govern your access to and use of the Premierely platform, including the web application at app.premierely.io and all associated services (“Service”), operated by Premierely, registered at Cosijnstraat 25, 2313 NC, Leiden, the Netherlands (“Premierely”, “we”, “us”, or “our”).

By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. What Premierely does

Premierely is a booking and scheduling platform for SoundCloud channel owners and music promoters. It enables:

  • Artists and labels (“Bookers”) to submit tracks to SoundCloud channels for premiere or repost bookings
  • Channel owners (“Channels”) to review, schedule, and automatically publish those tracks via the SoundCloud API
  • Optional automated posting of Instagram Stories when a premiere is published (Pro feature)
  • Download gate creation for lead capture
  • Payment processing between Bookers and Channels via Stripe

2. Accounts

You must be at least 18 years old to create an account. You are responsible for keeping your login credentials secure and for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorized access.

We may suspend or terminate accounts that violate these Terms, at our sole discretion.

3. User responsibilities

You agree not to:

  • Submit tracks or content you do not have the rights to distribute
  • Use the Service to infringe on any third party’s intellectual property, privacy, or other rights
  • Attempt to reverse engineer, scrape, or interfere with the Service
  • Use automated tools to interact with the Service without our written permission
  • Impersonate another user or misrepresent your identity
  • Use the Service for any unlawful purpose

4. Content and intellectual property

You retain ownership of any tracks, audio files, or other content you upload (“Your Content”). By uploading content, you grant Premierely a limited, non-exclusive license to store, process, and transmit it solely for the purpose of operating the Service – for example, to send a track to SoundCloud or generate an Instagram Story on your behalf.

We will not use Your Content for any other purpose, sell it, or share it with third parties except as required to deliver the Service (e.g. SoundCloud API, Instagram API, Stripe).

The Premierely platform, branding, and software are owned by Premierely and protected by applicable intellectual property law. You may not copy, reproduce, or distribute them without our written permission.

5. Third-party integrations

The Service connects to the following third-party platforms. Your use of these integrations is subject to their respective terms:

  • SoundCloud – used to publish tracks and reposts on your behalf. Governed by SoundCloud’s Terms of Use.
  • Meta (Instagram) – used to post Instagram Stories on your behalf when enabled (Pro feature). Governed by Meta’s Terms of Service and Platform Policy.
  • Stripe – used to process payments between Bookers and Channels, and to manage payouts via Stripe Connect. Governed by Stripe’s Terms of Service.

We are not responsible for the availability, accuracy, or actions of these third-party services.

6. Payments and fees

Bookings involving payment between a Booker and a Channel are processed via Stripe. Premierely charges a 5% platform fee plus 21% Dutch VAT on transactions. This fee is deducted before the remainder is paid out to the Channel via Stripe Connect.

Subscription fees for Premierely Pro (currently 10/month or 100/year) are charged in advance. Subscriptions auto-renew unless cancelled. Refunds are not provided for partial subscription periods.

All prices are in euros. You are responsible for any applicable local taxes.

7. Prohibited conduct

You may not use Premierely to submit fraudulent bookings, misrepresent track ownership or rights, or abuse the booking or communication system. Channels may not accept payment for tracks they do not intend to publish in good faith.

8. Termination

You may delete your account at any time by contacting [email protected]. We may suspend or terminate your account if you breach these Terms, with or without notice. Upon termination, your right to use the Service ends immediately. Pending bookings and payments at the time of termination will be handled on a case-by-case basis.

9. Disclaimers

The Service is provided “as is” without warranties of any kind. We do not guarantee uninterrupted availability, error-free operation, or that the Service will meet every requirement you have. SoundCloud, Instagram, and Stripe integrations depend on third-party APIs that can change or become unavailable without notice.

10. Limitation of liability

To the maximum extent permitted by applicable law, Premierely’s total liability for any claim arising from these Terms or the Service is limited to the amount you paid to us in the three months preceding the claim. We are not liable for indirect, consequential, or incidental damages, including lost revenue or data loss.

Nothing in these Terms excludes liability for fraud, death, or personal injury caused by our negligence.

11. Privacy

Our collection and use of personal data is described in our Privacy Policy. By using the Service, you agree to the Privacy Policy.

12. Governing law and disputes

These Terms are governed by Dutch law. Any disputes will be submitted to the non-exclusive jurisdiction of the courts of Amsterdam, Netherlands. If you are an EU consumer, you retain the right to rely on mandatory consumer protection provisions of your country of residence.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated by email or in-app notice. Continued use of the Service after the effective date of updated Terms constitutes acceptance.
